Terms of Service

1. Acceptance of these Terms

These Terms of Service ("Terms") form a binding agreement between you and GlobalXchange Tech Limited ("we", "us", "our"), operating the games brand globalxtl, and govern your access to and use of our mobile games, websites and related services (the "Services").

By downloading, installing, accessing or using any Service, you confirm that you have read, understood and agree to these Terms. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction, which may be up to 16) to use the Services. If you are under the age of majority where you live, you may use the Services only with the involvement and consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf.

3. Licence granted to you

We grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the Services for your own non-commercial entertainment purposes, subject to these Terms and to the rules of the app store through which you obtained the Service.

You may not:

• Copy, modify, distribute, sell, lease, sublicense or commercially exploit the Services.
• Reverse engineer, decompile or attempt to extract source code, except where such restriction is prohibited by law.
• Use cheats, automation software, bots, emulators for unfair advantage, or unauthorised third-party tools.
• Interfere with, disrupt or overload the Services, or circumvent security, age gates or monetization systems.
• Use the Services for any unlawful, infringing, hateful, harassing or deceptive purpose.

4. Accounts, progress and your conduct

Most globalxtl titles can be played without registration, and progress is stored locally or under a device-scoped player ID. You are responsible for maintaining the security of your device and any linked account, and for all activity that occurs through it.

We may suspend or terminate access where we reasonably believe these Terms have been breached, where required by law, or to protect the integrity of the Services or other players.

5. Virtual items and in-app purchases

• Virtual currency, items, boosters and cosmetics ("Virtual Items") are licensed to you, not sold. They have no monetary value and cannot be exchanged for cash.
• Purchases are processed by the app store operator and are subject to that operator's terms and refund policy. We do not process payment card data.
• Virtual Items are non-transferable and, except where required by law or store policy, non-refundable.
• We may adjust, rebalance, remove or discontinue Virtual Items and game features as part of normal live operations. Where a Service is permanently discontinued, we may provide notice and, where required, a remedy.
• Advertising is part of the Service. Optional rewarded advertising is always initiated by you.

6. Submissions from developers and studios

If you submit a prototype, build, deck or other material to us for publishing review:

• You confirm you own or control all rights necessary to make the submission and that it does not infringe any third party's rights.
• You grant us a limited licence to review, test and internally evaluate the submission for the purpose of assessing a potential commercial partnership.
• This licence does not transfer ownership of your intellectual property. Any publishing, financing or revenue-share arrangement requires a separate signed agreement.
• We handle submission materials confidentially and do not redistribute them. Please do not send trade secrets without an NDA in place.

7. Intellectual property

All rights, title and interest in and to the Services — including software, artwork, audio, game design, trade marks, logos and the globalxtl brand — are owned by GlobalXchange Tech Limited or its licensors and are protected by applicable intellectual property laws. No rights are granted except as expressly stated in these Terms.

8. Third-party services

The Services integrate third-party components, including app stores, advertising networks, analytics providers and payment processors. Your use of those components may be governed by their own terms and privacy policies, and we are not responsible for their independent practices.

9. Availability and changes to the Services

We aim for high availability but do not guarantee uninterrupted or error-free operation. We may modify, update, suspend or discontinue any part of the Services at any time, including content, features, availability by region and supported devices.

10. Disclaimer of warranties

To the maximum extent permitted by law, the Services are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Services will be free of viruses or other harmful components.

11. Limitation of liability

To the maximum extent permitted by law, GlobalXchange Tech Limited and its directors, officers, employees, agents and partners will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or opportunity, arising out of or relating to your use of the Services.

Our aggregate liability for all claims relating to the Services will not exceed the greater of (a) the total amount you paid to us through the Services in the twelve months preceding the claim, or (b) USD 50.

Nothing in these Terms limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud.

12. Indemnity

You agree to indemnify and hold harmless GlobalXchange Tech Limited against claims, damages, losses and reasonable expenses arising from your breach of these Terms or your misuse of the Services.

13. Termination

These Terms remain in effect until terminated. You may terminate by ceasing to use the Services and uninstalling the applications. We may terminate or suspend your access immediately if you breach these Terms. Sections that by their nature should survive termination — including intellectual property, disclaimers, liability limits and governing law — will continue to apply.

14. Governing law and jurisdiction

These Terms are governed by the laws of the Hong Kong Special Administrative Region of the People's Republic of China, without regard to conflict-of-law rules. The courts of the Hong Kong Special Administrative Region of the People's Republic of China have exclusive jurisdiction over any dispute arising from these Terms, subject to any mandatory consumer protection rights available to you in your country of residence.

15. Changes to these Terms

We may revise these Terms from time to time. Material changes will be notified in-game, on this page, or by email where appropriate. Continued use of the Services after the effective date of a revision constitutes acceptance of the revised Terms.
